1. El Physical Oracle Gap en el derecho privado vigente. Los esfuerzos legislativos recientes —Principios de UNIDROIT sobre Activos Digitales (2023), Ley DLT suiza, UCC Artículo 12 en EE.UU.— han establecido con éxito la naturaleza jurídica de los activos digitales «controlables». Sin embargo, ninguno resuelve el Physical Oracle Gap: la desconexión jurídica que surge cuando un token digital representa un Activo del Mundo Real físico. Si el activo se degrada, se gestiona de forma fraudulenta o sufre double-pledging off-chain, el token se convierte en «colateral tóxico» y el derecho de propiedad vigente carece de un mecanismo atómico para reconciliar la verdad on-chain con la realidad física off-chain.

2. Objeto de esta Ley Modelo. La presente Ley Modelo ofrece a las jurisdicciones un marco estatutario para reconocer el protocolo Layer 0 Physical Reality (L0-PR). Establece que un RWA tokenizado, cuando está anclado criptográficamente a un estándar de verificación forense (como PTVS v1.0), constituye un derecho de propiedad digital-físico inseparable. Asimismo, otorga validez legal a los Mecanismos de Rescate Atómico ejecutados mediante contratos inteligentes, evitando años de litigios tradicionales en caso de default físico.

1. The Physical Oracle Gap in current private law. Recent legislative efforts — the UNIDROIT Principles on Digital Assets (2023), the Swiss DLT Act, UCC Article 12 in the United States — have successfully established the legal nature of «controllable» digital assets. However, none addresses the Physical Oracle Gap: the legal disconnect arising when a digital token represents a physical Real-World Asset. If the physical asset degrades, is mismanaged or is subjected to off-chain double-pledging, the token becomes «toxic collateral», and current property law lacks an atomic mechanism to reconcile on-chain truth with off-chain physical reality.

2. Purpose of this Model Law. This Model Law provides jurisdictions with a statutory framework to recognize the Layer 0 Physical Reality (L0-PR) protocol. It establishes that a tokenized RWA, when cryptographically anchored to a forensic verification standard (such as PTVS v1.0), constitutes an inseparable digital-physical property right. Furthermore, it grants legal validity to Atomic Rescue Mechanisms executed via smart contracts, bypassing years of traditional litigation in the event of physical default.

Capítulo I — Disposiciones Generales y DefinicionesChapter I — General Provisions & Definitions

Artículo 1 · DefinicionesArticle 1 · Definitions

A los efectos de la presente Ley:For the purposes of this Law:

  1. «RWA Tokenizado»: la representación digital de derechos sobre un activo físico, emitida en una red de tecnología de registro distribuido (DLT), vinculada criptográficamente a la identidad jurídica y estructural del activo físico.“Tokenized RWA” means a digital representation of rights over a physical asset, issued on a Distributed Ledger Technology (DLT) network, which is cryptographically linked to the physical asset’s legal and structural identity.
  2. «Protocolo L0-PR (Layer 0 Physical Reality)»: el estándar de verificación forense determinista que acredita la existencia física, la integridad estructural y las cargas jurídicas de un RWA, mediante Firmas Electrónicas Cualificadas (p. ej., eIDAS 2.0) y anclaje criptográfico.“L0-PR (Layer 0 Physical Reality) Protocol” means a deterministic forensic verification standard that attests to the physical existence, structural integrity and legal encumbrances of an RWA, utilizing Qualified Electronic Signatures (e.g., eIDAS 2.0) and cryptographic anchoring.
  3. «Mecanismo de Rescate Atómico»: la función pre-programada de un contrato inteligente que transfiere automáticamente el mandato legal, el control operativo o los derechos de rendimiento del activo físico a un Operador de Respaldo o custodio designado, al producirse un default físico verificado.“Atomic Rescue Mechanism” means a pre-programmed smart contract function that automatically transfers the legal mandate, operational control or yield rights of the physical asset to a designated Backup Operator or Custodian upon the occurrence of a verified physical default.
  4. «Physical Oracle Gap»: la vulnerabilidad jurídica y financiera sistémica derivada de la incapacidad de la DLT para acreditar nativamente realidades físicas off-chain.“Physical Oracle Gap” means the systemic legal and financial vulnerability arising from the inability of DLT to natively attest to off-chain physical realities.

Capítulo II — Naturaleza Jurídica e InseparabilidadChapter II — Legal Nature & Inseparability

Artículo 2 · El Título Digital-Físico InseparableArticle 2 · The Inseparable Digital-Physical Title

  1. Un RWA Tokenizado que haya sido validado y monitorizado continuamente mediante un Protocolo L0-PR será reconocido por los tribunales de este Estado como un Título Valor Digital sui generis, intrínsecamente inseparable del activo físico subyacente.A Tokenized RWA that has been validated and continuously monitored via an L0-PR Protocol shall be recognized by the courts of this State as a sui generis Digital Bearer Instrument, intrinsically inseparable from the underlying physical asset.
  2. La transferencia de las claves privadas que controlan el RWA Tokenizado constituirá transmisión jurídicamente vinculante de la titularidad beneficiaria y de los derechos operativos del activo físico subyacente, siempre que el hash criptográfico L0-PR coincida con el estado físico actual del activo.The transfer of the private keys controlling the Tokenized RWA shall constitute a legally binding transfer of the beneficial ownership and operational rights of the underlying physical asset, provided the L0-PR cryptographic hash matches the current physical state of the asset.

Artículo 3 · Prohibición del Double-Pledging y Divergencia RegistralArticle 3 · Prohibition of Double-Pledging & Registry Divergence

  1. Todo intento de constituir una garantía real off-chain (p. ej., hipoteca o prenda tradicional) sobre un activo físico ya gravado por un RWA Tokenizado, sin actualización del Registro L0-PR, se considerará nulo de pleno derecho frente a los tenedores del token.Any attempt to create an off-chain security interest (e.g., a traditional mortgage or lien) over a physical asset already encumbered by a Tokenized RWA, without updating the L0-PR Registry, shall be deemed void ab initio against the token holders.
  2. Capítulo III — Ejecución Automatizada y Rescate AtómicoChapter III — Automated Enforcement & Atomic Rescue

Artículo 4 · Validez Jurídica de los Disparadores de Contrato InteligenteArticle 4 · Legal Validity of Smart Contract Triggers

  1. Los tribunales y tribunales arbitrales reconocerán la validez jurídica de las acciones de ejecución automatizada activadas por una degradación del oráculo L0-PR (p. ej., caída del PRRB Rating a «F» / Default).Courts and arbitral tribunals shall recognize the legal validity of automated enforcement actions triggered by an L0-PR oracle downgrade (e.g., a PRRB Rating dropping to “F” / Default).
  2. Cuando un contrato inteligente ejecute un Mecanismo de Rescate Atómico —como la revocación del poder de un operador físico en default y su transferencia a un Operador de Respaldo certificado—, dicha transferencia se reconocerá como remedio contractual lícito y auto-ejecutable, sin necesidad de procedimientos previos de desahucio o medida cautelar judicial.Where a smart contract executes an Atomic Rescue Mechanism — such as revoking the Power of Attorney of a defaulting physical operator and transferring it to a certified Backup Operator — this transfer shall be recognized as a lawful, self-executing contractual remedy, not requiring prior judicial eviction or injunction proceedings.

Artículo 5 · El Forensic Freeze ProtocolArticle 5 · The Forensic Freeze Protocol

En caso de sospecha fundada de fraude físico o colapso estructural, la emisión de un evento ForensicFreezeTriggered en la red DLT constituirá una «orden de congelación» jurídicamente reconocida sobre las transferencias en mercado secundario del activo, protegiendo a los inversores frente a la negociación de colateral tóxico y preservando el valor jurídico subyacente del activo.In the event of suspected physical fraud or structural collapse, the issuance of a ForensicFreezeTriggered event on the DLT network shall constitute a legally recognized “freeze order” over the asset’s secondary market transfers, protecting investors from trading toxic collateral while preserving the asset’s underlying legal value.

Capítulo IV — Blindaje frente a Acreedores y Remoteness ConcursalChapter IV — Creditor Shielding & Bankruptcy Remoteness

Artículo 6 · Protección frente al Embargo por Acreedores No VinculadosArticle 6 · Protection from Unrelated Creditor Seizure

  1. Los activos físicos tokenizados y verificados continuamente bajo el Protocolo L0-PR se considerarán mantenidos en un Fideicomiso Constructivo Criptográfico (Cryptographic Constructive Trust).Physical assets that are tokenized and continuously verified under the L0-PR Protocol shall be deemed held in a Cryptographic Constructive Trust.
