Memorándum ExplicativoExplanatory Memorandum

1. Contexto. El Reglamento (UE) 2023/1114 (MiCA) obliga, en su Artículo 36, a los emisores de tokens referenciados a activos (ART) y de tokens de dinero electrónico (EMT) a mantener «activos de reserva suficientes en todo momento», y en su Artículo 46 impone requisitos estrictos de custodia y segregación a los proveedores de servicios de criptoactivos (CASP).

2. El problema. Cuando el activo de reserva subyacente es un Activo del Mundo Real (RWA) tangible —inmueble, buque, infraestructura o mercancía—, los mecanismos de auditoría financiera tradicionales no permiten cerrar el Physical Oracle Gap: la desconexión estructural entre la representación on-chain y la realidad física, jurídica y estructural del colateral.

3. Contenido. La presente Norma especifica los requisitos técnicos y forenses para la verificación continua del colateral físico: introduce el protocolo Layer 0 Physical Reality (L0-PR), exige firma electrónica cualificada (QES) eIDAS 2.0 para los peritos forenses y establece mecanismos criptográficos para impedir el double-pledging entre registros on-chain y off-chain.

1. Context. Regulation (EU) 2023/1114 (MiCA) requires, under Article 36, issuers of Asset-Referenced Tokens (ART) and E-Money Tokens (EMT) to maintain «sufficient reserve assets at all times», and under Article 46 imposes strict custody and segregation requirements on Crypto-Asset Service Providers (CASP).

2. The problem. Where the underlying reserve asset is a tangible Real-World Asset (RWA) — real estate, vessel, infrastructure or commodity — traditional financial audit mechanisms fail to close the Physical Oracle Gap: the structural disconnect between the on-chain representation and the physical, legal and structural reality of the collateral.

3. Content. This Standard specifies the technical and forensic requirements for continuous verification of physical collateral: it introduces the Layer 0 Physical Reality (L0-PR) protocol, mandates eIDAS 2.0 Qualified Electronic Signatures (QES) for forensic experts, and establishes cryptographic mechanisms to prevent double-pledging across on-chain and off-chain registries.

(4) Para prevenir el fraude sistémico mediante double-pledging —el uso del mismo activo físico como garantía de múltiples emisiones on-chain o hipotecas off-chain— debe mantenerse un registro criptográfico unificado de la huella física única del activo (hash Keccak-256 del Pasaporte L0-PR).(4) To prevent systemic fraud via double-pledging — using the same physical asset as collateral for multiple on-chain issuances or off-chain mortgages — a unified cryptographic registry of the asset’s unique physical fingerprint (Keccak-256 hash of the L0-PR Passport) must be maintained.

Capítulo I — Objeto y DefinicionesChapter I — Subject Matter & Definitions

La presente Norma establece las especificaciones técnicas para: (a) la emisión y renovación del Certificado de Realidad Física (PRC) de los RWA que respalden criptoactivos tokenizados; (b) la prevención criptográfica del double-pledging mediante el protocolo L0-PR; y (c) las cualificaciones mínimas y el régimen de responsabilidad de los peritos forenses (Prop Trust Certified Experts, PTCE) que realizan las auditorías.This Regulation lays down the technical specifications for: (a) the issuance and renewal of the Physical Reality Certificate (PRC) for RWAs backing tokenized crypto-assets; (b) the cryptographic prevention of double-pledging via the L0-PR Protocol; and (c) the minimum qualifications and liability regimes of the forensic experts (Prop Trust Certified Experts, PTCE) conducting the audits.

Artículo 2 · DefinicionesArticle 2 · Definitions

  1. «Physical Oracle Gap»: la vulnerabilidad sistémica derivada de la incapacidad de la tecnología de registro distribuido (DLT) para acreditar nativamente la existencia física, integridad estructural y cargas jurídicas de activos off-chain.‘Physical Oracle Gap’ means the systemic vulnerability arising from the inability of Distributed Ledger Technology (DLT) to natively attest to the physical existence, structural integrity and legal encumbrances of off-chain assets.
  2. «Layer 0 Physical Reality (L0-PR)»: la capa de verificación forense determinista que precede y condiciona la emisión y validez continua de un token RWA.‘Layer 0 Physical Reality (L0-PR)’ means the deterministic forensic verification layer that precedes and conditions the minting and continuous validity of an RWA token.
  3. «Certificado de Realidad Física (PRC)»: el informe forense jurídicamente vinculante, firmado mediante QES eIDAS 2.0, que acredita el PTVS Score y el estado físico del colateral.‘Physical Reality Certificate (PRC)’ means the legally binding forensic report, signed via eIDAS 2.0 QES, attesting to the PTVS Score and physical state of the collateral.
  4. «Double-Pledging»: la práctica fraudulenta o negligente de utilizar el mismo activo físico como garantía de múltiples obligaciones concurrentes, on-chain u off-chain.‘Double-Pledging’ means the fraudulent or negligent practice of using the same physical asset as collateral for multiple concurrent debt obligations, whether on-chain or off-chain.

Capítulo II — Certificado de Realidad FísicaChapter II — The Physical Reality Certificate

Artículo 3 · Emisión y ValidezArticle 3 · Issuance & Validity

  1. Con carácter previo a la emisión (minting) de cualquier token referenciado a un activo físico, el emisor deberá procurarse un Certificado de Realidad Física (PRC) emitido por un PTCE acreditado.Prior to the minting of any token referencing a physical asset, the issuer shall procure a Physical Reality Certificate (PRC) issued by an accredited PTCE.
  2. El PRC incluirá una puntuación de riesgo determinista (PRRB Rating, de AAA a F) basada en la evaluación de cinco vectores forenses: integridad registral, inspección física (NDT), flujos de caja operativos, ausencia de gravámenes y telemetría IoT.The PRC shall include a deterministic risk score (PRRB Rating, AAA to F) based on the evaluation of five forensic vectors: registry integrity, physical inspection (NDT), operational cash flows, absence of encumbrances, and IoT telemetry.
  3. El PRC tendrá una validez máxima de 12 meses. Una degradación del PRRB Rating a grado especulativo (BB o inferior) activará una re-auditoría obligatoria inmediata.The PRC shall have a maximum validity of 12 months. A downgrade of the PRRB Rating to speculative grade (BB or below) shall trigger an immediate mandatory re-audit.

Artículo 4 · Anclaje Criptográfico y eIDAS 2.0Article 4 · Cryptographic Anchoring & eIDAS 2.0

  1. El PRC se formulará como esquema legible por máquina (PTVS-WHR) y se renderizará como documento PDF/A-3.The PRC shall be formatted as a machine-readable schema (PTVS-WHR) and rendered as a PDF/A-3 document.
  2. El hash (SHA-256) del PRC se firmará mediante Firma Electrónica Cualificada (QES) bajo eIDAS 2.0, garantizando no-repudio y admisibilidad judicial transfronteriza.The hash (SHA-256) of the PRC shall be signed using a Qualified Electronic Signature (QES) under eIDAS 2.0, ensuring non-repudiation and cross-border judicial admissibility.
  3. El hash firmado se inyectará en la identidad on-chain del activo (p. ej., ONCHAINID) mediante una interfaz de contrato inteligente estandarizada (PTVSClaimInjector.sol).The signed hash shall be injected into the asset’s on-chain identity (e.g., ONCHAINID) via a standardized smart-contract interface (PTVSClaimInjector.sol).

Capítulo III — Prevención del Double-PledgingChapter III — Prevention of Double-Pledging

Artículo 5 · Registro Inmutable L0-PRArticle 5 · The L0-PR Immutable Registry

  1. Para prevenir el double-pledging, el PTCE generará una huella física única del activo combinando coordenadas geoespaciales, datos volumétricos estructurales y números de folio registral.To prevent double-pledging, the PTCE shall generate a unique physical fingerprint of the asset combining geospatial coordinates, structural volumetric data and registry folio numbers.
  2. Dicha huella se procesará mediante hash (Keccak-256) y se registrará en un Registro L0-PR público e inmutable, accesible para CASPs, autoridades competentes y entidades de crédito.This fingerprint shall be hashed (Keccak-256) and registered in a public, immutable L0-PR Registry accessible to CASPs, competent authorities and credit institutions.
  3. Artículo 6 · Entrada en VigorArticle 6 · Entry into Force

La presente Norma entrará en vigor a los veinte días de su publicación en el Diario Oficial de la Unión Europea. Será obligatoria en todos sus elementos y directamente aplicable en cada Estado miembro.This Regulation shall enter into force on the twentieth day following that of its publication in the Official Journal of the European Union. It shall be binding in its entirety and directly applicable in all Member States.
