Liber X

Digital Asset Succession & Bankruptcy-Remote Governance (DASBRG)
Fiduciary Dead Man’s Switch, Atomic Receiver Protocol & Cross-Border Insolvency Alignment

Preamble: This Liber establishes the legal and technical mechanisms to ensure operational continuity and asset protection in the event of issuer insolvency, operational failure, or “Key Man Risk.” It bridges traditional fiduciary safeguards with automated smart contract execution, ensuring that tokenized Real-World Assets (RWAs) remain secure, traceable, and governed by pre-approved neutral entities under international insolvency frameworks.
Fiduciary Dead Man’s Switch (Atomic Receiver Protocol)
To mitigate operational control loss or Key Man Risk, the standard mandates the implementation of the Atomic Receiver Protocol, anchored to a neutral fiduciary structure governed by the PropTrust Association in Switzerland, pursuant to Articles 60–79 of the Swiss Civil Code (ZGB).
In the event of the original issuer’s insolvency, formal bankruptcy, creditor concourse, or detection of critical inactivity in administrative key signatures, the system shall activate a predefined, cryptographically enforced countdown. Upon expiration, administrative governance of the smart contract shall automatically and irrevocably transfer to the pre-approved institutional fiduciary.
Harmonization with Cross-Border Insolvency Law
The transfer of smart contract administration under Article 1 shall be legally interpreted as the execution of a fiduciary safeguard mandate, fully respecting the UNCITRAL Model Law on Cross-Border Insolvency (1997) and relevant local bankruptcy statutes.
This guarantees that institutional investors retain traceability and the ability to recover their economic rights identically to the protections offered by traditional private banking Trusts, seamlessly merging international legal certainty with Distributed Ledger Technology (DLT) immutability.
Pre-Perfected Rights and Ipso Facto Clause Override
The governance transfer mechanisms defined herein are designed to operate independently of ipso facto clauses (contractual termination triggered by bankruptcy filing). The pre-perfected rights of the Atomic Receiver are established at the moment of token issuance, ensuring that the smart contract’s operational continuity is legally shielded from the issuer’s estate liquidation process.
