Preamble: This Liber establishes the legal mechanisms to bridge the gap between local physical property registries and global distributed ledger networks. It ensures that digital tokens representing Real-World Assets (RWAs) hold enforceable legal weight across multiple jurisdictions, resolving the “Cross-Border Legal Interoperability Gap” through standardized, voluntary adoption.
Dual-Layer Title Structure & Bankruptcy Remoteness
Every Real-World Asset (RWA) tokenized under the PTVS standard shall maintain a dual-layer legal structure via a Special Purpose Vehicle (SPV) or a Trust, expressly designed to be Bankruptcy-Remote.
The SPV shall hold the legal and registral title of the physical asset in its local jurisdiction of origin, while the underlying smart contract (compliant with ERC-3643 or equivalent) shall unambiguously represent the economic rights and beneficial ownership (beneficial ownership), ensuring functional equivalence between the physical and digital realms.
Cross-Border Mutual Recognition & Enforceability
Pursuant to the principles of party autonomy and the UNIDROIT Principles of International Commercial Contracts (2016), issuing and investing parties hereby accept that the transfer of tokens on the Distributed Ledger Technology (DLT) constitutes a valid and binding transmission of the economic rights derived from the SPV.
Through the incorporation of Standard Digital Recognition Clauses (CEDR) in the SPV’s bylaws, jurisdictions of both Common Law (e.g., Delaware, UK) and Civil Law (e.g., EU Member States) shall recognize the immutability of DLT records as conclusive evidence of credit or dominial title. This allows the execution of a smart contract (e.g., default or collateral liquidation) to automatically trigger judicial possession or foreclosure mechanisms against the SPV.
Conflict of Laws and Governing Jurisdiction
In the event of a dispute regarding the underlying physical asset, the governing law of the SPV’s jurisdiction shall apply to the property rights, while the lex cryptographia (the code of the smart contract) shall govern the execution of the token transfer, provided it does not violate mandatory public policy rules of the asset’s lex rei sitae (law of the place where the property is situated).
Any partial adoption of this Liber by a jurisdiction or institution shall explicitly cite the canonical source: Corpus Legislativum PTVS v1.0, Liber VII, to maintain textual integrity and global interoperability.
